Wild Rose Community Center Bylaws

Article 1. Name:
The name of this organization shall be: Wild Rose Community Center.Article 2. Object:
The object of this organization shall be the maintenance and support of the grounds and buildings at the Wild Rose Community Center for all public meetings of a religious, civic, social, charitable, educational, or political nature, and all other legitimate gatherings which do not conflict with the safety of the grounds and buildings. And other activities as approved by the Board of Trustees, for each activity.Article 3. Membership:
Any person sixteen (16) years or older who resides in the Wild Rose Community is eligible for membership by the payment of a membership fee. The annual fee to be determined by the Board. Membership automatically terminates when said member ceases to be a resident of the Wild Rose Community. (Wild Rose Community is defined as with a four mile radius of the Wild Rose Community Center at the intersection of Wild Rose Road and Monroe Road.) A person who lives outside the 4-mile radius and wishes to become a member may petition the board for approval of membership. A member who is not current with membership fee shall have no vote and will be dropped from membership roster after 1 year.Article 4. Officers:
Section I: The officers of this organization shall consist of six (6) trustees who shall be elected at the annual meetings of the Wild Rose Community Center.Section II: The trustees shall organize and elect from their number, by ballot, the president, vice-president, secretary, treasurer, custodian, and member-at-large. The trustees shall serve without salary or compensation for a term of two (2) years.
Section III: No person shall be elected trustee who is not a member of this organization. No person shall serve until they have been a member for 3 years.
Section IV: Vacancies in the offices of trustees may be filled by appointment by the remaining trustees, said appointees to serve until the next annual meeting. No person shall serve until they have been a member for 3 years.
Section V: The Treasurer shall be in charge of the treasury of the organization, but he shall not dispense the monies without the approval of the majority of the Board of Trustees. The Treasurer shall dispense monies as directed by the annual budget, as adopted by the general membership.
Section VI: The Board of Trustees shall have the power to appoint all committees pertaining to the support and upkeep of the grounds and buildings, also to draw up a set of policies in regard to charges to be made to all persons organizations for use of said grounds and buildings. A community center member shall be responsible and in attendance at said occasions.
Section VII: Any trustee or officer may be removed at any time by affirmative vote of two-thirds (2/3) of the members present at any special or regular meeting.
Article 5. Meetings:
Section I: The annual meeting of the members shall be held each year on the first Friday in October no later than 8 p.m. at the Wild Rose Community Center. In case of a conflict of dates the Secretary will notify members of the change.
Section II: Notice of annual meeting shall be given by U.S. Mail or email, at member's option, to all members at their last given address. The date, hour, and place of the meeting to be specified.
Section III: Special meetings of the membership may be called by the President, and in his absence, by the Secretary, by giving ten (10) days notice prior to the meeting, or on demand, in writing, by ten (10) percent of the membership.
Section IV: At all membership meetings, each person having been a member for one year shall be entitled to cast one vote on each question, and no proxy votes will be honored.
Section V: At annual meetings of the members, they shall elect by majority ballot a board of trustees to serve for two (2) years or until their successor may be elected, and they shall transact such other business as may be presented for their consideration.
Section VI: A quorum shall consist of a minimum of 10 voting members present at any regular or special meeting.
Article 6:
The property of the Wild Rose Community Center shall not be transferred nor sold without a two-thirds (2/3) vote of all members answering a written ballot mailed to the last available address, and in case of sale, the money acquired shall be donated to a worthy nonprofit local organization selected by the Board of Trustees.
Article 7:
These bylaws may be altered or amended at any regular meeting or special meeting in one of the following ways: two-thirds (2/3) vote of all members present OR two-thirds (2/3) vote of the Board of Trustees. Actions to confirm & ratify said changes will occur, effective at the next meeting of the members thereafter.
Article 8:
There shall be an annual audit of the books of the Wild Rose Community Center before each annual meeting. The Auditing Committee shall consist of two (2) members, chosen by the Board of Trustees, and no more than one Board Trustee, not including the Treasurer.
Article 9:
Roberts Rules of Order shall govern all meetings or special meetings.
